Terms of Service
Provider: Daedalus Freight, LLC, doing business as E-Rate Wave, Jacksonville, Florida (“E-Rate Wave,” “we,” “us”). Customer: the person or organization that subscribes (“you”).
By subscribing to or using E-Rate Wave you agree to these terms. They are written in plain English on purpose; the plain meaning is the intended meaning.
1. What E-Rate Wave is
E-Rate Wave is monitoring software for the federal E-rate program. It reads the public Open Data published by the Universal Service Administrative Company (USAC) and reports on the applicants you tell us to watch. It is a software service. It is not consulting, legal advice, or a service-provider relationship, and we do not file forms, communicate with USAC, or act on your behalf in USAC’s E-Rate Productivity Center (EPC).
2. What we provide
For each applicant on your list, for the plan you are subscribed to:
- Monitoring. Automated syncs against USAC Open Data — currently six times per day — detecting funding request number (FRN) status changes and funding commitment decisions (FCDLs).
- Deadline tracking. Per-FRN tracking of Form 486 and invoice deadlines, calculated from the dates USAC publishes.
- Category 2 budgets. C2 budget monitoring and identification of C2 recovery candidates.
- Dashboards. A branded funding dashboard, regenerated on each sync, for you and (on consultant plans) for each of your applicants.
- Alerts. Email notifications of funding decisions and status changes.
- Documents. Auto-generated documents (letters of agency, fee agreements, calendars, retention schedules) populated from your data. You are responsible for reviewing them before use.
- Deployment. Either hosted dashboards from us, or integration with your existing Airtable base, as selected at signup.
- Support. Email support at [email protected]. Target first response: two business days.
3. What we do not provide — read this section
- No EPC access. We do not log in to EPC, do not screen-scrape it, and never ask for your EPC credentials. Anything that exists only inside EPC — including PIA review inquiries and their deadlines — is not visible to E-Rate Wave.
- Data freshness. Our data is only as current as USAC Open Data. USAC publishes on its own schedule; there can be a lag between an action in EPC and its appearance in Open Data. We show the timestamp of the last successful sync on every dashboard.
- Not a guarantee. E-Rate Wave helps you see deadlines; it does not meet them for you. You remain responsible for every filing, deadline, and program rule for your applicants. We are not liable for missed deadlines, denied funding, or reductions in funding.
- No warranty of USAC data. We report what USAC publishes. Errors in the source data are reproduced, not corrected.
4. Plans, billing, and changes
- Monthly subscription. Plans bill monthly in advance through Stripe on the day you subscribed. Annual plans bill once per year in advance at the published annual rate.
- Applicant caps. Each plan includes a maximum number of applicants (Consultant Core: 30; Consultant Scale: 75; Schools & Libraries: one billed entity, up to 10 sites and 25 active FRNs). “Applicant” means one billed entity (BEN) on your list.
- Above 30 on Core. If your list exceeds 30 applicants, your subscription moves to Consultant Scale. We will tell you before the change takes effect.
- Above 75 on Scale. Additional applicants are billed in packs of five at $10 per pack per month ($2 per applicant). We set the number of packs when your applicant list is imported and confirm it with you in writing before it is billed. You can adjust packs later from the Stripe billing portal or by email. All pack changes, up or down, take effect from the start of your next billing period; we do not prorate mid-period.
- Implementation fee. Consultant plans carry a one-time $199 implementation fee unless waived (see Founding Cohort).
- Counting. We count applicants from the list you provide. If your list exceeds your plan’s cap, we tell you the difference and the resulting charge before billing it; we won’t silently charge. Until you confirm the additional packs in writing, we monitor applicants only up to your plan’s cap (in the order they appear on your list) and hold the rest; they are added once you confirm, and billed from the next billing period as above. If you tell us in writing to load your whole list, that instruction counts as confirmation.
- Price changes. We will give at least 30 days’ written notice before any change to published prices takes effect on your subscription.
5. Cancellation and refunds
- Cancel anytime. No long-term contract. Cancel from the Stripe customer portal or by email; cancellation takes effect at the end of the current billing period, and you keep access until then.
- No partial-period refunds or credits. Monthly plans are not refunded for the remainder of the month, and pack reductions are not credited mid-period (they take effect from the next billing period, section 4). Annual plans are prepaid at a discount and are not refunded if cancelled early; your access continues to the end of the paid year.
- Your data after cancellation. Your applicant list and generated documents remain available for export for 30 days after cancellation, then are deleted. Data pulled from USAC Open Data is public and is not “your data.”
6. Founding Cohort terms (consultants)
If you joined under the Consultant Founding Cohort:
- 50% off the published monthly rate for the first 12 months from your signup date (payable monthly, or as one up-front payment of 12 × the founding monthly rate), and the implementation fee is waived.
- In return you agree to one 20-minute feedback call per month and give us permission to develop a case study from your use of the product. Case studies are reviewed and approved by you before publication; nothing identifying your applicants is published without their consent.
- After 12 months the subscription continues at the then-published rate unless cancelled.
- Additional-applicant packs (Scale, above 75) are also 50% off during the first 12 months — $5 per pack ($1 per applicant) — then $10 per pack ($2 per applicant) at the published rate.
- No long-term contract applies during early access; cancel anytime as in section 5.
7. Your responsibilities
- Provide an accurate applicant list and keep it current; you confirm you are authorized to monitor those applicants (as their consultant of record or as the applicant itself).
- Keep your login private. You are responsible for activity under your account.
- Do not resell, share, or republish E-Rate Wave output as your own product, or use the service to build a competing product.
- Use the service lawfully and in keeping with FCC and USAC program rules.
8. Our responsibilities
- Run the service with reasonable care and skill, excluding USAC outages and scheduled maintenance announced in advance.
- Protect your account data using reasonable industry-standard safeguards. We store your applicant list, contact details, and generated documents; we do not store EPC credentials because we never collect them.
- Tell you promptly if we become aware of a security incident affecting your data.
9. Privacy
Our Privacy Policy describes what we collect and how we use it. In short: we keep what we need to run your account, we do not sell your data, and USAC Open Data is public.
10. Intellectual property
E-Rate Wave, its software, dashboards, templates, and documentation are ours. Your applicant list, your uploads, and the documents generated for you are yours to use.
11. Limitation of liability
To the fullest extent the law allows, our total liability to you for any claim arising from the service is limited to the fees you paid us in the 12 months before the claim. We are not liable for indirect or consequential losses, including lost E-rate funding, lost profits, or penalties from USAC or the FCC. Nothing here limits liability that can’t be limited by law.
12. Changes to these terms
We may update these terms; we will email you at least 30 days before material changes take effect. Continued use after that date means you accept the new terms. If you don’t, cancel under section 5 before they take effect.
13. Governing law and disputes
These terms are governed by the laws of the State of Florida. Disputes will be resolved in the state or federal courts located in Duval County, Florida, unless we both agree to mediation first.
